BILLEZO COMPREHENSIVE TERMS & CONDITIONS

PLEASE READ THESE TERMS AND CONDITIONS ("TERMS") CAREFULLY. THESE TERMS CONSTITUTE A LEGALLY BINDING AGREEMENT BETWEEN YOU ("USER," "MERCHANT," OR "SHOP OWNER") AND BILLEZO TECHNOLOGIES ("BILLEZO," "WE," "OUR," OR "US").
By downloading, installing, accessing, or using the Billezo mobile application, website, dashboard, or any related services (collectively, the "Platform"), you expressly acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you are strictly prohibited from using the Platform and must delete the application immediately.

1. DEFINITIONS
━━━━━━━━━━━━━━━━━━━━━━━━━━━━
1.1 "Account" means the registered profile created by the User on the Platform, associated with a specific mobile number or email.
1.2 "Business Data" refers to all inventory, customer lists, invoices, Udhaari ledgers, and financial records inputted by the User into the Platform.
1.3 "Platform" encompasses the Billezo Android application, iOS application (if applicable), backend APIs, and the billezo.com website.
1.4 "Subscription" refers to the paid premium tiers (Basic, Pro, Premium) that unlock extended limits and advanced features.

2. ELIGIBILITY AND ACCOUNT REGISTRATION
━━━━━━━━━━━━━━━━━━━━━━━━━━━━
2.1 Age Requirement: You must be at least 18 years of age, or the legal age of majority in your jurisdiction, to create an Account and use the Platform. By registering, you warrant that you possess the legal capacity to enter into binding contracts.
2.2 Business Use Only: Billezo is a B2B (Business-to-Business) Platform designed for commercial entities, sole proprietors, and shopkeepers. It is not intended for personal, non-commercial consumer use.
2.3 Accurate Information: You agree to provide accurate, current, and complete information during the registration process, including your true business name. You are responsible for updating this information to maintain its accuracy.
2.4 Account Security: You are solely responsible for maintaining the confidentiality of your login credentials and OTPs. You are completely liable for all activities that occur under your Account, whether authorized by you or not. You must notify Billezo immediately of any suspected unauthorized access.

3. GRANT OF LICENSE & RESTRICTIONS
━━━━━━━━━━━━━━━━━━━━━━━━━━━━
3.1 Limited License: Subject to your continuous compliance with these Terms and payment of applicable Subscription fees, Billezo grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Platform strictly for your internal business operations.
3.2 Prohibited Conduct: You explicitly agree NOT to:
a) Modify, reverse engineer, decompile, decrypt, or disassemble any part of the Platform source code.
b) Circumvent, bypass, or attempt to hack any security features, subscription limits, or paywalls within the Platform.
c) Use the Platform to sell, invoice, or promote illegal, counterfeit, or restricted goods (including but not limited to unprescribed narcotics, illegal firearms, or contraband).
d) Resell, sublicense, or commercially exploit the Platform itself.
e) Use automated scripts, bots, or scrapers to extract data from the Platform APIs.
f) Transmit any malware, viruses, or destructive code through the Platform.

4. SERVICES & FUNCTIONALITY
━━━━━━━━━━━━━━━━━━━━━━━━━━━━
4.1 Offline Functionality: While Billezo offers offline capabilities, it is your responsibility to periodically connect to the internet to allow the Platform to synchronize and backup your Business Data to our cloud servers. Billezo is not liable for data loss occurring on a local device that has not been synced.
4.2 SMS & WhatsApp Communications: The Platform facilitates the sending of digital bills and Udhaari reminders via WhatsApp or SMS. You agree that you have obtained explicit consent from your customers to send them transactional messages. Billezo is not liable for your violation of anti-spam laws (e.g., TRAI regulations in India).
4.3 Thermal Printing: Billezo provides Bluetooth printing capabilities via ESC/POS protocols. While we support standard hardware, we do not guarantee compatibility with every generic printer model on the market, unless explicitly purchased from Billezo.
4.4 Staff Attendance System: Billezo offers an optional Staff Attendance add-on that allows you to track employee working days, mark present/absent/half-day status, and calculate estimated monthly salaries. All attendance data is associated with your shop account and stored securely on our servers. You are solely responsible for the accuracy of attendance records you enter and for any salary or labor decisions made based on this data. Billezo is not liable for payroll disputes arising from records entered by you.

5. SUBSCRIPTIONS, PAYMENTS & REFUNDS
━━━━━━━━━━━━━━━━━━━━━━━━━━━━
5.1 Subscription Tiers: Certain features (e.g., unlimited products, Bluetooth printing) are gated behind paid Subscription tiers (Basic, Pro, Premium). The limits and features of each tier are detailed on the Platform and are subject to change.
5.2 Payment Gateway: Subscription fees and hardware purchases are processed securely via our third-party partner, Razorpay. By making a payment, you agree to Razorpay's respective terms of service.
5.3 Auto-Renewal: If you opt for auto-renewing subscriptions (where applicable via e-mandates), your payment method will be automatically charged at the end of the billing cycle (monthly or yearly) until you explicitly cancel.
5.4 Refund Policy: All Subscription payments are STRICTLY NON-REFUNDABLE. We do not provide prorated refunds for mid-cycle cancellations. You may continue to use the premium features until the end of your current paid billing cycle. Hardware (Printer) purchases are subject to a separate hardware return policy provided at the time of purchase.

6. DATA OWNERSHIP & PRIVACY
━━━━━━━━━━━━━━━━━━━━━━━━━━━━
6.1 User Ownership: You retain 100% ownership of all Business Data you input into the Platform. Billezo claims no intellectual property rights over your inventory or customer lists.
6.2 License to Host: You grant Billezo a worldwide, royalty-free license to host, store, process, encrypt, and back up your Business Data strictly for the purpose of providing the Platform services to you.
6.3 Privacy Policy: Your use of the Platform is also governed by our Comprehensive Privacy Policy, which dictates how we collect and protect your data.
6.4 Account Deletion: If you delete your account via the "Danger Zone" feature, Billezo will permanently erase your Business Data. We cannot be held liable for the loss of data resulting from an intentional account deletion by the User.

7. INTELLECTUAL PROPERTY RIGHTS
━━━━━━━━━━━━━━━━━━━━━━━━━━━━
7.1 Billezo IP: All intellectual property rights, including copyrights, trademarks, logos, UI/UX designs, and software code related to the Platform, are the exclusive property of Billezo Technologies.
7.2 Infringement: Any unauthorized reproduction, distribution, or creation of derivative works based on the Platform constitutes a severe violation of intellectual property laws and will result in immediate legal action.

8. DISCLAIMER OF WARRANTIES

THE PLATFORM IS PROVIDED ON an "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, BILLEZO EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO:
a) WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
b) WARRANTIES THAT THE PLATFORM WILL BE UNINTERRUPTED, COMPLETELY ERROR-FREE, OR 100% SECURE.
c) WARRANTIES REGARDING THE ACCURACY OF FINANCIAL REPORTS OR TAX CALCULATIONS. (YOU ARE ADVISED TO CONSULT A CERTIFIED ACCOUNTANT FOR TAX FILINGS).

9. LIMITATION OF LIABILITY

9.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BILLEZO TECHNOLOGIES, ITS FOUNDERS, DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES.
9.2 THIS INCLUDES, BUT IS NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF BUSINESS GOODWILL, DATA CORRUPTION, OR DATA LOSS RESULTING FROM HARDWARE FAILURE, NETWORK OUTAGES, OR UNAUTHORIZED ACCESS.
9.3 Billezo serves solely as a software utility. We are not a party to any transaction between you and your customers. We assume no liability for unpaid Udhaari, disputed payments, or customer complaints regarding your products.
9.4 In no event shall Billezo's total cumulative liability to you for all claims arising out of or relating to these Terms exceed the total amount paid by you to Billezo for Subscriptions in the three (3) months preceding the incident.

10. INDEMNIFICATION
━━━━━━━━━━━━━━━━━━━━━━━━━━━━
You agree to fiercely indemnify, defend, and hold harmless Billezo Technologies from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from:
a) Your use of and access to the Platform.
b) Your violation of any term of these Terms & Conditions.
c) Your violation of any third-party right, including copyright, property, or privacy rights.
d) Any claim that your Business Data or business practices caused damage to a third party (e.g., selling defective goods).

11. MODIFICATION & TERMINATION
━━━━━━━━━━━━━━━━━━━━━━━━━━━━
11.1 Modifications to Terms: Billezo reserves the right to modify these Terms at any time. We will notify you of material changes via the Platform. Continued use of the Platform after changes constitutes acceptance of the new Terms.
11.2 Termination by Billezo: We reserve the right to suspend or permanently terminate your Account, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms, engage in fraudulent activity, or utilize the Platform for illegal operations.
11.3 Survival: Sections covering Intellectual Property, Disclaimer of Warranties, Limitation of Liability, and Indemnification shall survive any termination of your Account or these Terms.
11.4 Administrative Account Suspension: Billezo administrators may temporarily suspend your account if a violation of these Terms is detected or suspected. During an active suspension:
a) You will see a full-screen "Account Suspended" notice within the Billezo app.
b) Access to all Platform features (billing, inventory, attendance, etc.) will be blocked.
c) You may contact our support team via WhatsApp (+91 8483860091) or email (support@billezo.com) to appeal the suspension.
d) Billezo will review appeals within 2 business days and restore access if no violation is confirmed.

12. GOVERNING LAW & JURISDICTION
━━━━━━━━━━━━━━━━━━━━━━━━━━━━
12.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of India, specifically the Information Technology Act, 2000, without regard to its conflict of law provisions.
12.2 Jurisdiction: Any disputes, controversies, or legal actions arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the competent courts located in Maharashtra, India.
